Reasons for the appointment

Ms. Mukai has an extensive and high level of expertise in the scientific field. She has a wealth of experience and track record in various fields from her achievements as a medical doctor, astronaut and Specially Appointed Vice President of a university. Based on such experience and expertise, she has been actively presenting opinions and proposals in deliberations at the Board of Directors concerning material matters in the management of the Kao Group. In view of these facts, the Company has determined that it would be most suitable if Ms. Mukai were to continue to supervise the management of the Kao Group as an Independent Outside Director, and for this reason appoints her as an Outside Director. Although she has never been directly involved in company management other than through her experience as an outside director, the Company considers, based on the above reasons, that Ms. Mukai will properly perform her duties as an Outside Director.
